As of February 14, 1997, FHP International Corp. was acquired by Pacificare Health Systems Inc. In February 1997, FHP International Corporation completed an agreement and plan of reorganization with PacifiCare Health Systems, Inc., pursuant to which a new holding company formed by PacifiCare acquired FHP International. Prior to the merger, FHP International Corporation was engaged in the delivery of managed health care services; and the sale of indemnity health, group life, and workers' compensation insurance. Its managed health care services included ambulatory and outpatient physician care, hospital care, pharmacy, dental care, eye care, home health nursing, skilled nursing, physical therapy, psychological counseling, and health education. The company also offered third party administration and utilization review services, and various preferred provider organization networks.
