* Former Chief Financial Officer of AMVESCAP PLC (now known as Invesco PLC), from April 1996 to May 2004, and from which he retired in December 2006. * Joined the New York audit staff of Arthur Andersen LLP in 1964, served as Partner from 1972 until 1996, and served as Managing Partner in Atlanta from 1987 until April 1996. * Member of the American Institute of Certified Public Accountants and the Georgia Society of Certified Public Accountants. * Director: Comverge, Inc. and Schweitzer-Mauduit International, Inc. * Chairman of the Audit Committee and a member of the Executive and Governance Committees of the Board. * If elected, three-year term expires at the Annual Meeting for Fiscal Year 2010.
